Effective Date: June 16, 2025
These terms and conditions (“Rules”) apply to PurposeMed Inc., doing business as Freddie ("Freddie"), laboratory test transportation campaign (“Campaign”). Participation in the Campaign constitutes the Patient’s full and unconditional acceptance of, and agreement to be legally bound by, these Rules.
A. BACKGROUND:
Freddie provides telehealth services and dispenses medications, including pre-exposure prophylaxis ("PrEP"), to eligible patients (“Patients”) via its telehealth platform and associated pharmacies;
Freddie wishes to support its patients by offering transportation to and from a laboratory location for the purpose of completing required lab testing (“Transportation Service”) via Uber Health, a third-party transportation provider (“Provider”), subject to these Rules.
B. ELIGIBILITY & SCOPE:
1. This Campaign is available to eligible Patients who have been invited by Freddie to complete laboratory testing required for the initiation or continuation of PrEP treatment and who have submitted a completed opt-in form in accordance with the instructions provided.
2. This offering is valid for a one-time round-trip transportation to and from a laboratory location, provided the service is scheduled and completed during the Campaign period (“Term”).
C. CONDITIONS OF TRANSPORTATION SERVICE:
3. Required Action: Patients must: (i) opt in using the Freddie-approved intake form, which includes date of lab visit, pickup address, lab location; and (ii) consent to share relevant information with Uber Health for transportation coordination. No purchase is necessary to participate in the Initiative.
4. Form of Benefit: Freddie will schedule and cover the cost of one round-trip Uber Health ride (pickup to lab, and return trip from lab) through the Uber Health platform. Rides will be flexible return rides unless otherwise specified.
5. Obtaining Consent: By participating in this Initiative, you consent to: (a) Freddie sharing your personal data with Uber, (b) receiving SMS messages, email, and other communications from Uber and Frreddie in connection with the Uber Service, and (c) allowing Uber to provide Freddie with detailed trip information, including real-time trip status, for any trips taken using Uber provided by Freddie.
6. Coverage Limits: The cost of the transportation is covered only for the specific trip arranged through Freddie’s internal processes via Uber Health. Any additional costs incurred by the Patient for rescheduling, no-shows, or deviations from the agreed-upon locations or times will not be reimbursed and may be the responsibility of the Patient.
7. Submission Deadline: Patients must complete their lab visit within 30 days of opting into the Campaign. Freddie reserves the right to withhold transportation service if not completed in that timeframe.
8. Non-Transferable: The Transportation Service is non-transferable and must be used by the Patient to whom the offer was extended. It has no cash value and may not be exchanged, sold, or substituted, except at Freddie’s sole discretion.
9. Use of Transportation Services. Any Uber rides arranged through this Campaign are to be used solely for transportation to and from a pre-approved laboratory for the purpose of completing lab testing required by Freddie. Use of the Transportation Service for any other purpose, including but not limited to personal travel, alternate destinations, or unrelated appointments, is strictly prohibited. Any misuse of the service may result in disqualification from this Campaign, ineligibility for future Freddie benefits, and potential recovery of the cost of the ride.
D. LIABILITY AND ACKNOWLEDGEMENTS:
10. Limitation of Liability: Freddie, its affiliates, officers, directors, employees, agents, or successors (“Freddie Parties”) shall not be liable for any damages, including but not limited to direct, indirect, incidental, punitive, or consequential damages arising out of or in connection with the Transportation Service. This includes, without limitation, the safety, timing, or reliability of the service or the failure of the Provider to provide services. The Patient acknowledges that Freddie is merely subsidizing the cost of such service and is not directly involved in the provision of such transportation.
11. No Future Obligations. The Patient acknowledges that the transportation arrangement is a courtesy provided by Freddie and does not constitute an ongoing obligation for any future services or rides.
12. Acknowledgment of Independent Relationship. Patients hereby acknowledge and agree that there is no partnership, joint venture, employment, or agency relationship between Freddie and Uber Health or any Provider. The decision to opt in and attend a lab appointment is the Patient’s sole responsibility.
13. Assumption of Risk. Patients assume all risks associated with using the Transportation Service. Patients acknowledge that Freddie makes no representations or warranties regarding the condition, quality, or safety of the transportation provided.
14. Indemnification. Patients agree to indemnify and hold harmless the Freddie Parties from any and all claims, damages, losses, liabilities, costs, and expenses (including, without limitation, reasonable attorneys’ fees) arising out of or in connection with: (i) the Patient’s participation in the Campaign; (ii) the use, misuse, abuse, or misrepresentation in connection with the use of the Transportation Service; (iii) any breach of these Rules by the Patient; (iv) any act or omission by the Patient that results in additional costs or liabilities to Freddie or the transportation provider; or (v) any actions, behavior, or conduct of the Patient during transportation arranged under this Campaign, including conduct that causes harm, delay, cancellation, or damages to third parties.
15. Voluntary Participation. Patients acknowledge that participation in this Campaign is entirely voluntary and may be cancelled by the Patient at any time before the transportation service is booked. Freddie reserves the right to cancel or modify participation at its discretion.
16. Responsibility for Additional Costs. Patients are responsible for any costs incurred beyond the transportation benefit provided by Freddie, including but not limited to ride cancellations, rescheduled trips, no-shows, unauthorized destinations, or any charges resulting from misuse of the transportation service.
17. Abuse of Program. Freddie reserves the right to revoke access to the transportation benefit and disqualify any Patient from future campaigns if there is evidence of misuse, abuse, misrepresentation, or failure to comply with these Rules.
E. GENERAL CONDITIONS:
18. Freddie reserves the right, at its sole discretion, to disqualify any individual (and all of his or her entries) who does not comply with these Rules, or who attempts to abuse the Campaign.
19. Freddie reserves the right to modify these Rules at any time. Any changes will be effective immediately upon posting on Freddie’s website. Your continued participation in the Initiative following the posting of changes will constitute your acceptance of such changes. It is your responsibility to review these Rules regularly to stay informed of any updates. Freddie reserves the right to cancel, suspend, withdraw or amend this Campaign in any way, without prior notice or obligation.
20. This Campaign is subject to all applicable federal, provincial and municipal laws and the Campaign is void where prohibited by law.
21. By entering the Campaign, entrants agree to indemnify and hold Freddie harmless from any claims, liabilities, damages, or expenses arising in connection with the Campaign. Entrants also release Freddie from any and all liability related to their participation in the Campaign.
22. Freddie accepts no responsibility for loss, damage or claims caused by or resulting from the Campaign or the use of Uber Health services.
23. Freddie will not be liable in the event of an error, technical problem, computer virus, bugs, tampering, unauthorized intervention, fraud, technical failure or any other cause beyond the reasonable control of Freddie that interferes with the proper conduct of this Campaign as contemplated by these Rules.
24. Freddie reserves the right, in its sole and absolute discretion, to require proof of identity and/or eligibility (in a form acceptable to Freddie, including, without limitation, government issued photo identification): (i) for the purposes of verifying an individual’s eligibility to participate in this Campaign; (ii) for the purposes of verifying the eligibility and/or legitimacy of the Patient to enter into the Campaign; and/or (iii) for any other reason Freddie deems necessary, in its sole and absolute discretion, for the purposes of administering this Campaign per these Rules. Failure to provide such proof to the satisfaction of Freddie in a timely manner may result in disqualification in the sole and absolute discretion of Freddie.
25. Freddie respects your right to privacy. By entering this Campaign, each entrant expressly consents to Freddie, its agents and/or representatives, storing, sharing and using the personal information submitted with his/her entry only for the purpose of administering the Campaign and in accordance with Freddie’s Privacy Policy (available at: https://www.gofreddie.com/) unless the entrant otherwise agrees to receive further communications from Freddie.
26. Severability: If any provision of these Rules is deemed unenforceable, the remainder will continue in effect.
27. Governing Law: These Rules are governed by the laws of Alberta, Canada.
28. Entire Agreement: These Rules represent the entire agreement between you and Freddie regarding the Campaign
